Terms of Service

Agreement
These terms govern your use of services provided by Nuveris Systems ("Nuveris", "we"). By engaging our services or paying an invoice, you agree to these terms. Where a signed service agreement or statement of work exists, its terms control over these.
Services
We provide business automation consulting and implementation, email hosting and filtering, and website hosting and management. The scope, fees, and term of your services are those stated in your proposal, service agreement, or invoice.
Fees and payment
Fees are invoiced as stated in your agreement — one-time for project work, recurring for hosting and managed services. Invoices are payable upon receipt unless otherwise stated. Payments are processed by Stripe. Accounts more than 30 days past due may have services suspended after notice.
Client responsibilities
You are responsible for the accuracy of information you provide, for maintaining the confidentiality of credentials we issue to you, and for using the services in compliance with applicable law. Hosted services may not be used to send spam or host unlawful content.
Service levels and support
We operate hosted services with commercially reasonable care and target high availability, but do not guarantee uninterrupted service. Support requests go to support@nuveris.com and are handled during normal business hours (Central Time) unless your agreement provides otherwise.
Intellectual property
Automations, configurations, and code we build for you under a paid engagement are licensed to you for use in your business upon full payment. Our pre-existing tools, templates, and know-how remain ours.
Limitation of liability
To the maximum extent permitted by law, Nuveris's total liability arising out of the services is limited to the amounts you paid us in the three months preceding the claim, and we are not liable for indirect, incidental, or consequential damages, including lost profits or lost data.
Termination
Either party may end recurring services as described in the Refund & Cancellation Policy. We may suspend or terminate services for non-payment or material breach after notice.
Governing law
These terms are governed by the laws of the State of Texas. Venue for disputes is Dallas County, Texas.
